1. Scope

These Terms & Conditions govern the relationship between Juliedoo and any client who engages our services. By signing an engagement contract with Juliedoo, the client agrees to these terms in full. No engagement commences without a signed contract.

2. Engagement & Payment

The full engagement fee is due upon signing of the contract, in a single payment, before any work begins. There are no exceptions to this requirement.

• Payment must be received in full before the engagement commences.
• We do not offer payment plans, staged payments, or deferred billing.
• All fees are non-refundable, regardless of the outcome of the engagement or whether the findings are accepted by the client.
• Juliedoo reserves the right to suspend or terminate an engagement if payment obligations are not met.

3. No Guarantees

Juliedoo does not guarantee specific outcomes, results, or recommendations. The findings we deliver reflect what is true based on the information and access made available to us. We are not responsible for decisions made by the client on the basis of our findings. What we commit to is the rigour, honesty, and independence of our process.

4. Client Obligations

The client agrees to provide:

• Direct and unfiltered access to the executive and relevant members of the leadership team.
• Permission to conduct interviews with relevant individuals.
• Access to documents, systems, and information necessary for the engagement.
• Honest and complete responses to all questions and requests.

Withholding access, providing misleading information, or obstructing the engagement process constitutes a material breach of contract. In such cases, Juliedoo reserves the right to terminate the engagement. No refund will be issued.

5. Confidentiality

All information exchanged during an engagement is subject to strict confidentiality obligations on both sides. Juliedoo will not disclose, share, or publish any client information, except where required by applicable law or a binding legal obligation. The client agrees not to disclose the existence, scope, or findings of the engagement without prior written consent from Juliedoo, except where required by applicable law. Full confidentiality terms are set out in the engagement contract.

6. Independence & Conduct

Juliedoo operates with full independence. We do not take instructions on findings, conclusions, or recommendations from any party. We do not play individuals against each other. We do not expose or humiliate any person in the course of our work. Our role is to find what is true and report it — not to judge, punish, or assign blame.

7. Limitation of Liability

Juliedoo's total liability in connection with any engagement, whether in contract, tort, or otherwise, is limited to the fee paid for that specific engagement. Under no circumstances shall Juliedoo be liable for:

• Any indirect, consequential, incidental, or special loss or damage.
• Loss of profit, revenue, business, or anticipated savings.
• Any decisions made by the client or any third party on the basis of Juliedoo's findings or reports.
• Any outcome resulting from incomplete or withheld access provided by the client.

8. Governing Law & Dispute Resolution

The governing law and jurisdiction applicable to each engagement are specified in the engagement contract signed by both parties prior to commencement of work. In the absence of a specific contractual provision, these terms shall be governed by the laws of the jurisdiction in which Juliedoo is registered.

Any dispute arising out of or in connection with an engagement shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be referred to mediation or arbitration as specified in the engagement contract, before any court proceedings are initiated.
